Wholesale Terms and Conditions

1. Introduction

These Wholesale Terms and Conditions ("Terms") establish the agreement between [Your Company Name/Your Name] ("we," "us," or "our") and the wholesale buyer ("Wholesaler" or "you") for the purchase and resale of our exclusive Prints, Original Paintings, and Merchandise ("Products"). We retain exclusive rights to all intellectual property associated with our Products.

2. Wholesaler Eligibility

To qualify as a Wholesaler, you must:

• Operate a legitimate retail business (online or brick-and-mortar) or be an approved reseller.
• Provide a valid business license, resale certificate, or equivalent documentation upon request.
• Agree to adhere to all terms and conditions outlined herein.

We reserve the right to approve or deny any wholesale application at our sole discretion.

3. Ordering

3.1 Minimum Order Requirements

• Initial Order: A minimum initial order value is required for all new wholesale accounts.
• Reorders: A minimum reorder value is required for subsequent orders.
• Minimum Quantity per Product: 6 items per SKU. Some may SKU's may require a larger minimum.

3.2 How to Order

Orders can be placed through our dedicated wholesale portal at https://wholesale.camilladerrico.com.

3.3 Order Confirmation

Upon receipt of your order, we will send an order confirmation within immediately, detailing the Products, quantities, pricing, and estimated shipping costs.

4. Pricing and Payment

4.1 Wholesale Pricing

Wholesale pricing will be provided upon approval of your wholesale account. Prices are subject to change without prior notice. All prices are in USD and do not include shipping, taxes, or duties.

4.2 Payment Terms

• New Wholesalers: All initial orders require 100% payment upfront before production or shipment.
• Established Wholesalers: TBD.
• Accepted Payment Methods: We accept all major credit cards and PayPal.

5. Shipping

5.1 Shipping Methods and Costs

Shipping costs are calculated based on the weight, dimensions, and destination of the order. We typically ship via UPS or USPS. Expedited shipping options may be available upon request at an additional cost.

5.2 Estimated Delivery Times

Orders are typically processed and shipped within 1-2 business days after payment confirmation. Fine Art Prints may take longer to process. Estimated delivery times will vary based on the shipping method and destination. We are not responsible for delays caused by carriers or customs.

5.3 International Shipping

For international orders, the Wholesaler is responsible for all customs duties, taxes, and import fees levied by the destination country.

5.4 Risk of Loss

Risk of loss and title for Products purchased by the Wholesaler pass to the Wholesaler upon our delivery of the Products to the carrier.

6. Returns, Damages, and Defects

6.1 Damages or Defects

Any claims for damaged or defective Products must be reported to us within 7 business days of receipt of the order. Please provide photographic evidence of the damage or defect. We will, at our discretion, replace the damaged items or issue a credit.

6.2 Returns

All wholesale sales are final unless the Products are damaged or defective as per Section 6.1. We do not accept returns for unsold merchandise.

7. Intellectual Property

We retain all exclusive rights, title, and interest in and to all intellectual property associated with our Products, including but not limited to copyrights in our Prints and Original Paintings, trademarks, and designs for our Merchandise.

7.1 Usage of Images and Branding

• Wholesalers are granted a non-exclusive, non-transferable license to use our product images, descriptions, and branding materials solely for the purpose of marketing and selling our Products.
• All marketing materials must accurately represent our Products and brand.
• Wholesalers may not alter our images or branding without prior written consent.
• Any unauthorized use of our intellectual property is strictly prohibited.

8. Resale and Pricing

8.1 Resale Channels

Products may only be sold through the retail channels specified in your wholesale application (e.g., your approved physical store, your approved e-commerce website). Sales on third-party marketplaces (e.g., Amazon, eBay, Etsy) are strictly prohibited unless prior written approval is obtained from us.

8.2 Suggested Retail Pricing (MSRP)

We may provide a Manufacturer's Suggested Retail Price (MSRP) for our Products. While you are free to set your own retail prices, we strongly encourage adherence to the MSRP to maintain brand integrity and fair market value.

8.3 Discounting

Wholesalers are prohibited from discounting our Products below the MSRP without prior written consent, except during approved promotional periods. This helps protect the value and exclusivity of our brand.

9. Marketing and Branding

9.1 Brand Representation

Wholesalers agree to represent our brand and Products in a professional and high-quality manner consistent with our brand image.

9.2 Promotional Materials

We may provide promotional materials (e.g., brochures, digital assets) for your use.

10. Termination

We reserve the right to terminate a wholesale account at any time, with or without cause, by providing written notice. Reasons for termination may include, but are not limited to, violation of these Terms, misrepresentation, or failure to meet payment obligations. Upon termination, any outstanding invoices become immediately due and payable.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State, e.g., California], without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts.

12. Amendments
